1. Introduction

Welcome to Faure, a research panel operated by Brox AI, Inc. ("Brox", "we", "us" or "our"). This Terms of Use Agreement (the "Agreement") describes the terms that apply to your use of (i) the website located at faure.ai and its subdomains (the "Website"), and (ii) the Faure research panel programme (the "Panel Programme") (collectively, the "Service").

By accessing or using the Service in any way, including browsing the Website, submitting an application, or participating in research, you represent that you have read, understand, and agree to be bound by this Agreement and our Privacy Policy, which is incorporated into this Agreement by reference. You also confirm that you are of legal age to form a binding contract and are not barred from using the Service under applicable law.

If you do not agree to these terms, please do not use the Service.

2. Changes to these terms

We may update this Agreement from time to time. When we do, we will update the "Last Updated" date above and make the new version available on the Website. We may also notify you by email.

Changes are effective immediately for visitors without a membership, and thirty (30) days after posting for accepted members. Your continued use of the Service after changes are posted constitutes acceptance. If you do not agree to any changes, you should stop using the Service.

3. Use of the Service

Subject to your compliance with this Agreement, we grant you a limited, non-exclusive, non-transferable, revocable, personal licence to use the Service in connection with your participation in the Panel Programme.

The Service is evolving. We may update, modify, or discontinue features at any time, with or without notice. Any future updates or additions to the Service are subject to this Agreement.

4. Applying, membership, and your account

Membership of the Panel Programme begins with an application through the Website, which we review by hand. If your application is accepted, we will invite you to complete onboarding and, once the Faure member platform opens, to create a member account. Whether applying or registering, you agree to provide true, accurate, and complete information, and to keep it up to date. You must be at least eighteen (18) years old and of legal age to form a binding contract.

You are responsible for all activity that occurs under your account. Do not share your account credentials with anyone. You may not create more than one account, or create an account using false information or on behalf of someone else. Notify us immediately at support@faure.ai if you believe your account has been compromised.

If you provide information that is untrue, inaccurate, or misleading, including false or poor-quality research responses, we may suspend or terminate your membership.

Verification and re-verification. Membership in the Panel Programme is conditioned on your being, and remaining, the person you represent yourself to be. We may ask you to verify your identity and professional background, including by reference to public records, corporate registries, professional directories, and your firm, at the time you apply and at any time thereafter. Verification and good standing are subject to ongoing and random re-verification, and we may re-verify before any Research Session. You agree to comply with reasonable verification requests, and we may pause session invitations and suspend SAR grants while a verification or fraud review is in progress.

5. Participating in research

As a member of the Panel Programme, you participate in research through AI-powered conversations, video interviews, and in-person sessions (collectively, "Research Sessions"). Brox's enterprise clients use research derived from the Panel Programme to inform their decisions, and we use insights gathered to develop products, services, and technologies, including training AI systems.

You should engage thoughtfully and ensure your contributions ("Submissions") are of reasonable quality and meet the requirements of each Research Session. You shall not submit content that is unlawful, threatening, abusive, deceptive, fraudulent, or offensive.

You may withdraw from a Research Session at any time before completion, but may not be eligible for compensation if you do so.

To preserve the integrity and intellectual property of our research, you agree not to publish or disclose the content of any Research Sessions to third parties. You may tell others that you are a member of Faure.

By participating in the Panel Programme, you acknowledge and agree that:

  • Your Research Sessions (voice, video, and text) will be recorded and transcribed
  • Your responses will be processed by AI systems to create a behavioural model (digital twin) of your perspectives and decision-making patterns
  • Anonymised, aggregated insights derived from your Sessions and behavioural model power Brox's research products and may be shared with Brox's enterprise clients
  • Limited personal information (name, email, grant amounts, grant dates) will be used to administer your SAR grants; this is necessary for the performance of your SAR agreement

Full details of how your data is collected, used, stored, and shared are set out in our Privacy Policy. The Privacy Policy also describes your rights under the GDPR, UK GDPR, and CCPA/CPRA, including the right to access, correct, delete, and port your data, and the right to withdraw consent at any time.

One company: Faure is not a separate legal entity. Brox AI, Inc. operates the panel directly, so the company you contract with, the company that holds your data, and the company whose research products your anonymised, aggregated insights power are one and the same. This is the exchange at the heart of Faure: your insights help Brox grow, and your SAR grants mean you hold a share of the upside you help create. As with any early-stage company, there is no guarantee of future value; SARs may ultimately be worth nothing.

7. Compensation

When you complete Research Sessions, you may be eligible for compensation as indicated by the Service in advance of your participation. Compensation is granted as Stock Appreciation Rights ("SARs") in Brox AI, Inc. under Brox's SAR plan, not as cash. Each completed session carries a SAR grant with an initial notional value communicated before the session (currently an initial notional value of $500 for a completed video interview and $5 per minute for AI voice conversations). Initial notional values are the sizing basis of a grant; they are not amounts payable to you.

Your SAR agreement governs. SARs are granted under an individual SAR agreement you receive after approval. That agreement governs vesting, settlement, and all terms of your grants. If this Agreement and your SAR agreement conflict with respect to SARs, your SAR agreement controls.

What SARs are not. SARs are not shares, not options, and not a purchase of securities; you pay nothing for them, and holding them is not an investment you make. SARs are not transferable and there is no market for them; we make no promise of liquidity, and settlement follows the terms of your SAR agreement. The value of a SAR tracks the appreciation of Brox stock, and, as with any early-stage company, there is no guarantee of future value; SARs may ultimately be worth nothing.

Tax. SAR settlement may be a taxable event depending on your circumstances and jurisdiction, and we may be required to report grants or settlements to tax authorities. You are responsible for any tax obligations arising from your grants. Brox does not provide investment, legal, accounting, or tax advice; please consult your own adviser.

You understand that compensation is not guaranteed for every interaction and may be subject to approval of your Submission. We may change grant sizing, structures, or methods prospectively at any time; changes do not affect grants already made under your SAR agreement.

Withholding and rescission. Grants are earned only for Research Sessions you complete fully, truthfully, and in good faith. We reserve the right to withhold, cancel, or rescind any grant, subject to the terms of your SAR agreement, and to suspend or terminate your membership, if we determine that your application, screening answers, identity, or Submissions were inaccurate, misleading, fraudulent, automated, duplicative, or otherwise in breach of this Agreement, or that you have manipulated the Service. We may require additional verification of your identity and background at any time, and may pause grants pending that verification.

California residents: The compensation programme constitutes a "financial incentive" under the CCPA. See Section 13 of our Privacy Policy for the required Notice of Financial Incentive, including the value methodology and your right to withdraw.

8. Ownership and intellectual property

Our Service. Except for your Submissions, we and our licensors own all rights, title, and interest in the Service, including all software, content, design, and documentation. You may not remove or alter any copyright, trademark, or proprietary notices on the Service.

Your Submissions. We do not claim ownership of your Submissions. However, by participating in Research Sessions, you grant Brox AI, Inc. a non-exclusive, transferable, perpetual, irrevocable, worldwide, royalty-free, sublicensable licence to use, reproduce, modify, adapt, and distribute your Submissions for the purposes of providing research and analysis to our clients, developing products and technologies (including AI systems), and otherwise operating our business, in each case consistent with our Privacy Policy.

We will not attribute any specific insight, opinion, or quote to you by name without your explicit consent. Individual responses are never sold in identifiable form for targeting or marketing.

9. Acceptable use

You agree not to use the Service for any purpose prohibited by this Agreement or applicable law. Without limitation, you shall not:

  • Provide intentionally false or misleading information about your background or identity
  • Share confidential or proprietary information belonging to your firm, employer, or business partners
  • Artificially simulate responses or manipulate the Service to obtain SAR grants fraudulently
  • Licence, sell, rent, or commercially exploit any part of the Service
  • Reverse-engineer, decompile, or disassemble any part of the Service
  • Use automated tools (bots, scrapers, crawlers) to access or extract data from the Service
  • Impersonate any person or entity, or misrepresent your affiliation
  • Interfere with the proper functioning of the Service or attempt to circumvent its security
  • Use the platform to promote products, services, or political agendas

Fraud and reporting. Knowingly misrepresenting your identity or background to obtain SAR grants is fraud. Where we identify deliberate or organised fraud, we will close the account(s) involved, rescind grants obtained through fraud in accordance with the SAR agreement, and may report the matter to law enforcement, tax authorities, and other relevant authorities.

10. Third-party services

The Service may contain links to or integrate with third-party websites, applications, and services. These are not under our control, and we are not responsible for their content, practices, or availability. Your use of third-party services is at your own risk and subject to their own terms and policies.

11. Disclaimer of warranties

The Service is provided on an "as is" and "as available" basis, with all faults. To the extent permitted by law, we disclaim all warranties, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that the Service will be uninterrupted, timely, secure, or error-free, or that any information obtained through the Service will be accurate or reliable. Nothing on the Service constitutes investment, legal, accounting, or tax advice.

12. Limitation of liability

To the fullest extent permitted by law, Brox AI, Inc. and its affiliates, officers, employees, agents, and licensors shall not be liable for any indirect, incidental, special, or consequential damages, or any loss of profits, revenue, or data, arising out of or in connection with the Service or this Agreement.

Our total liability to you for any claims arising from or related to this Agreement or the Service shall not exceed one hundred dollars ($100). Nothing in this section modifies or limits any rights you hold under an individual SAR agreement, which is a separate contract governed by its own terms.

Some jurisdictions do not allow the exclusion or limitation of certain damages. If these laws apply to you, some of the above limitations may not apply. Nothing in this Agreement excludes or limits liability that cannot be excluded or limited under applicable law, including liability for fraud or wilful misconduct.

13. Indemnification

You agree to indemnify and hold harmless Brox AI, Inc. and its affiliates, officers, employees, and agents from any losses, costs, liabilities, and expenses (including reasonable legal fees) arising from: (i) your use of the Service; (ii) your violation of this Agreement; (iii) your violation of any rights of another party; or (iv) your violation of any applicable laws.

14. Dispute resolution

Informal resolution first. If a dispute arises between you and Brox AI, Inc., we are committed to working with you to reach a reasonable resolution. Before initiating any formal proceedings, you agree to contact us and attempt to resolve the dispute informally within forty-five (45) days. Send notice to legal@faure.ai.

Binding arbitration. If informal resolution fails, you and Brox AI, Inc. agree that any dispute shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, rather than in court. The arbitration will be conducted in the county where you reside, unless otherwise agreed. Disputes arising under an individual SAR agreement are governed by the dispute resolution provisions of that agreement.

Class action waiver. You and Brox AI, Inc. agree that disputes will be resolved on an individual basis only. Neither party may bring claims as a plaintiff or class member in any class, collective, or representative action. You waive any right to participate in a class action lawsuit or class-wide arbitration.

Jury trial waiver. You and Brox AI, Inc. waive any right to a jury trial for any dispute arising from this Agreement or the Service.

Right to opt out. You may opt out of this arbitration agreement by sending written notice to legal@faure.ai within thirty (30) days of first accepting this Agreement. If you opt out, all other parts of this Agreement continue to apply.

EEA and UK residents: Nothing in this section limits your right to bring proceedings before the courts of your country of residence, or to lodge a complaint with your local data protection authority, as provided by applicable law including the GDPR.

15. Termination

This Agreement remains in effect while you use the Service. You may end your membership at any time by contacting us at support@faure.ai.

We may suspend or terminate your access to the Service at any time if you breach this Agreement, or for any reason upon notice to you. Upon termination, your right to use the Service ceases. If termination is for cause, SAR grants may be withheld, cancelled, or rescinded in accordance with your SAR agreement; grants that have vested or settled are handled as that agreement provides.

Anonymised, aggregated data already included in published research may be retained. Your personal data will be handled in accordance with our Privacy Policy, including deletion of personally identifiable information within 30 days of your request, subject to any legal retention obligations. Provisions of this Agreement that by their nature should survive termination, including ownership, disclaimers, limitations of liability, and dispute resolution, will survive.

16. General provisions

Governing law. This Agreement is governed by the laws of the State of Delaware, consistent with the Federal Arbitration Act, without regard to conflict of law principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply. For EEA and UK residents, this choice of law does not deprive you of the protection of mandatory provisions of the law of your country of residence.

Electronic communications. You consent to receive communications from us electronically. All notices, agreements, and disclosures provided electronically satisfy any legal requirement that such communications be in writing.

Assignment. You may not assign or transfer this Agreement without our prior written consent. We may freely assign this Agreement.

Severability. If any provision of this Agreement is held invalid or unenforceable, the remaining provisions continue in full force and effect.

Entire agreement. This Agreement, together with the Privacy Policy and, if you hold SAR grants, your individual SAR agreement, constitutes the entire agreement between you and Brox AI, Inc. with respect to the Service and supersedes all prior agreements on the subject matter.
